1. Introduction
This document sets out the terms and conditions of Tradie Accelerator’s referral scheme.
2. Entire agreement
Unless otherwise implied by law, these terms and conditions set out the entire agreement between Tradie Accelerator and a Referrer.
3. Relationship and term
This agreement applies to any Referral Business provided to Tradie Accelerator from time to time.
It does not intend that any employment, partnership, joint venture or other ongoing or overarching arrangement between Tradie Accelerator and a Referrer.
4. Termination and variation
Tradie Accelerator may terminate or vary the agreement at any time.
Referral Business which was referred during the existence of this agreement will be treated in accordance the terms in existence at the Date of Referral.
5. Choice of law and jurisdiction
This agreement is covered by the law of Victoria and any action to enforce these terms must be brought in Victoria.
6. Confidentiality
Tradie Accelerator and the Referrer and persons at their direction or acting on their behalf will not disclose the existence of this agreement or any information provided under it except to the extent that they are required by law to do so or they provide prior written consent to such disclosure.
TERMS OF REFERRAL
7. Referrer
Subject to the provision of a valid ABN, and with the exception of any Tradie Accelerator employees or their immediate families in their personal capacities or through any corporate entities that they own or operate, any party may act as Referrer under this agreement.
A Referrer provides Tradie Accelerator, in writing, with the names and contact details of Potential Clients. Tradie Accelerator will then contact those Potential Clients with the intention of marketing the Services to them.
8. Referral Business
If a Potential Client enters into a contract with Tradie Accelerator for the provision of the Services, and that contract is not terminated or suspended by Tradie Accelerator or the Potential Client within 6 months, it is considered to be Referral Business.
FEES
9. Referral Fee
In the event that Referral Business is provided, Tradie Accelerator will pay a Referral Fee of $200.00 (two hundred dollars) including GST.
10. Conditions
Tradie Accelerator will only pay the Referral Fee if the Potential Client:
(a) has not previously entered into a contract with Tradie Accelerator;
(b) has not previously been referred or introduced to Tradie Accelerator by any other person within the last 3 (three) months;
(c) is not an existing lead known to Tradie Accelerator; and
(d) has not previously had any association or affiliation with Tradie Accelerator.
11. Trailing fee
If, after expiration of the initial contract, the Potential Client renews its contract with Tradie Accelerator, no trailing fee is payable.
12. No obligation
Tradie Accelerator is not obliged to enter into a contract with a Potential Client. If Tradie Accelerator declines, for any reason, to enter into a Contract with a Potential Client, Tradie Accelerator will have no obligation to pay any Referral Fee.
13. Payment of Referral Fee
Tradie Accelerator will pay the Referral Fee into the Referrer’s nominated bank account within 30 days of receiving the 6 months of the start of the Referral Business where the contract is for a period of 1 year.
DEFINITIONS
Tradie Accelerator means AOB Group Pty Ltd (ABN 50 164 548 261) trading as Tradie Accelerator.
Date of Referral: is the date on which the Referrer submits the details of a Potential Client to Tradie Accelerator in writing for the purpose of Tradie Accelerator marketing its services to the Potential Client.
Potential Client: means any business, including companies, partnerships and sole traders, referred to Tradie Accelerator for marketing purposes.
Services: means to provision of services by Tradie Accelerator under a contract for services, including workplace relations advice and related insurance.
